Successfully negotiated legal contracts that involve product development through the creation of the Developers On-Line Program that assists new developers through electronic distribution of software that is intended to be utilized on SGI's multi-media proprietary hardware. Led the legal team in creating the IRIX M Stream Addendum which eliminated gray market patch piracy by allowing SGI IRIX users to download software patches for various bug fixes. Negotiated sales and service/support contracts that involve hardware and/ or integrated hardware/software solutions that are custom approaches for different uses ranging from commercial to military uses. Negotiated research and development alliances that utilize SGI hardware and proprietary software as well as third-party software. Negotiated non-disclosure confidential agreements as well as transition documents that facilitate the transfer and/or license of technology. Various software use and development agreements involved companies such as CompeteNet, Placeware, Legato and Hitachi as well as a variety of porting agreements.
Drafted global and multi-national consulting, subcontractor and master contractor agreements as well as software care support agreements (software and hardware service and maintenance agreements). Worked collaboratively with sales, product development, engineers, finance and marketing personnel as well as senior business management teams to accommodate legal compliance requirements of regulatory and state laws in multiple jurisdictions. Revised a variety of contracts and internal policies to accommodate recent SEC revenue recognition directives (SAB 101) and export compliance regulations that impact the sales team.
Solely responsible for providing legal support in all areas including contract analysis, interpretation and negotiation as well as labor, custom and export/import considerations regarding Latin America and Canada. Negotiated contracts with AmazonTech, Intesa Informatica, Negocios, and Tecnologia domiciled in Venezuela; directing the creation of a Brazilian subsidiary of SGI for the purpose of establishing a logistical branch office to facilitate faster service for a competitive edge.
