I advise clients on a broad range of transactional matters. I help them select the best form entity for doing business. I also assist clients in structuring, negotiating and documenting the terms of business arrangements necessary for the ongoing operation and expansion of their businesses. I have extensive experience in negotiating and drafting asic corporate documents and LLC operating agreements, distribution agreements, employment agreements and shareholder agreements.

Charitable Organizations

My passion for and commitment to the nonprofit community in the South Puget Sound allows me to bring unique value to tax-exempt organizations. I provide advice on issues arising in all phases of a charity's life cycle, including the preparation and filing of the application for recognition as a tax-exempt organization. I also advise on the full range of matters involving daily operations, from fundraising to sponsorship agreements to employment matters. I also assist with structuring transactions and alliances with other organizations.
