Biography
I have 20+ years legal experience helping public and private companies and investment funds with their corporate needs at every stage of development.
My goal is to deliver the legal services you need at a cost that represents true value, whether that involves the initial organization, a venture capital or angel financing, acquiring or disposing of another company, completing a securities offering, creating an equity compensation plan, protecting your intellectual property, procuring or licensing software, SaaS, or cloud technology, creating a new business model, or resolving a dispute with your shareholders, customers, or vendors.
I passionately and diligently pursue your goals and objectives with a creative problem solving approach that values practical solutions. I know what works and what doesn’t - so I can reduce the friction in your next transaction.
I can help with business formation, corporate finance, venture capital, private placements, PIPES, public securities offerings, 34 Act reporting, mergers and acquisitions, contract negotiation, software, SaaS and cloud licensing, software, SaaS, and cloud distribution, data privacy and security, HIPAA, intellectual property protection, trade secrets, non-competition agreeements, executive compensation, stock options, restricted stock awards, software and encryption export regulation, and strategic alliances
