Biography
Heather is a partner in the firm’s Corporate Department, where she maintains a diverse corporate law practice. She advises individuals and businesses of all types and sizes on a variety of general corporate and business law matters, including entity formation, corporate governance, contracts, real estate, mergers and acquisitions, and securities compliance. Heather works with clients from a range of industries, including real estate, manufacturing, retail, hospitality, health care, technology, insurance and financial institutions. Heather has been recognized annually since 2010 as an Ohio “Rising Star” by Ohio Super Lawyers®.
Her transactional experience includes counseling clients on acquisitions and sales of businesses, corporate reorganizations, commercial real estate transactions, private offerings of debt and equity securities, and joint ventures. In this capacity, she has experience preparing and negotiating asset purchase agreements, stock purchase agreements, merger agreements and private placement memoranda as well as related authorizing resolutions, organizational agreements and ancillary documents. For restaurant and hospitality clients, Heather is knowledgeable of Ohio liquor law and assists them in navigating the liquor license permit application and transfer process with the Ohio Division of Liquor Control.
Heather has extensive experience drafting and negotiating commercial contracts for manufacturers, product developers, resellers and purchasers. Among these are manufacturing and supply agreements, purchase order terms and conditions, services agreements, sales representative agreements, product development agreements, and confidentiality and non-disclosure agreements.
In the real estate sector, Heather advises real estate holding companies and developers of shopping center, mixed-use and affordable housing projects. She also counsels other landowners in a variety of commercial real estate matters, including acquisition and divestiture of real estate, real estate tax exemption, and leasing and property management issues.
Heather’s practice extends into the health care sector, where she counsels hospitals and health care organizations on various aspects of their businesses, including corporate governance, trade name rebranding, independent contractor agreements, product and service agreements, and real estate matters.
