Biography
Jason H. Hayes combines his extensive “big firm” and in-house legal experience, with a business-oriented approach, to provide practical, result-driven advice and skillfully executed work product to clients in a wide array business, investment and transactional law matters.
Prior to starting Hayes Business Law, Jason worked in the Dallas, Texas offices of the international law firm of Patton Boggs LLP and Wick Phillips Gould & Martin LLP, where he gained deep “big firm” experience in both the public and private sector as counsel to successful businesses, investors, financial institutions and other commercial enterprises in connection with the negotiation, documentation and closing of sophisticated, multi-million dollar transactions involving mergers & acquisitions, equity investments, corporate finance, securities, joint ventures, recapitalizations, real estate finance and project development. In addition, he has successfully guided numerous clients through all phases of entity formation, capital infusion, corporate governance, commercial contract negotiations, and the regulatory compliance challenges associated with highly-regulated businesses and industries.
During his tenure as corporate counsel a Fortune 200 company, DISH Network, L.L.C. and its affiliates, Jason advised executive management with respect to corporate governance, strategic initiatives, risk management, mergers & acquisitions, financings, real estate leasing, regulatory compliance and litigation management. In addition, he served as lead attorney in the negotiation and preparation of a broad spectrum of commercial contracts, including asset purchase agreements, confidentiality agreements, consulting agreements, employment and independent contractor agreements, distribution and revenue sharing agreements, vendor/customer agreements, marketing agreements, licenses and agreements related to technology and entertainment media (both physical and digital formats), and other contracts encountered in the day-to-day operations of the company.
Jason graduated cum laude from Baylor University School of Law, where he served as Executive Editor of the Baylor Law Review. He also holds a Bachelor of Science, summa cum laude, from Stephen F. Austin State University. He is licensed to practice law in the State of Texas.
