Ms. Yue Cao, Esq. is the founding partner of Law Office of Yue & Associates (“Y&A”). Ms. Cao has broad knowledge and extensive experience in wide ranging corporate practice with an emphasis on representing Chinese companies in their fund raising through public and private equity or debt financing and cross border mergers and acquisitions, and corporate governance initiatives in the United States. She has counseled companies in diverse industries such as agriculture, digital media, biotech, medicine, mining, manufacturing, retail and wholesale.

Ms. Cao has advised domestic and international clients on complex transactional matters, including initial public offerings (IPO) and private placements, reverse mergers, NYSE and NASDAQ initial listings and listing transfers, going dark and going private transactions, public company compliance work (SEC filings and Sarbanes-Oxley Act compliance), and internal investigations and correspondences with the SEC, FINRA, NYSE, NASDAQ, and other major government agencies. Ms. Cao is also dedicated to comparable study of U.S. and China corporate and securities laws and regulations.

Ms. Cao advises private company clients to initiate their business operations in the States, including business formation of C corp, S corp, LLC and LLP, prepared stock purchase agreements, asset acquisition agreements, investment and shareholders rights agreement, mergers and acquisition transactions, employment agreement and general business contracts. Ms. Cao also represented the executives of multi-national companies and their family members to apply for visa and green card to entry into the States.

Ms. Cao was previously associated with the New York office of DLA Piper LLP and Katten Muchin Rosenman LLP. Ms. Cao was a partner with a boutique Park avenue based law firm before fouding Y&A. Tsinghua University (A.B.); Cornell University School of Law (LL.M.).
