What are Mergers and Acquisitions?

A merger or acquisition, also called M&A, happens when equity and/or assets shift between two company owners. A merger is when two companies join together. An acquisition is when one company buys another company. It is common in business for the two terms to be used together; so much so that the form “M&A transaction” has been created to represent mergers and acquisitions. Mergers and acquisitions are used by companies to help boost earnings, compete more in their area of business and make their profit higher.

Acquisitions or mergers are conducted in many forms, each one meant for a different purpose. Key and regularly used forms of M&A deal are known as:

  • Strategic mergers
  • Acqui-hire
  • Merger of equals

When a company sees the target company will be valuable for its long-term plans, it is called a strategic merger. Mergers and acquisitions (M&A) between companies are believed to help the acquiring firm gain a greater share in the industry and attract a broader range of customers, while improving its business strength. Amazon’s purchase of Whole Foods shows one way mergers can be used in strategy. Besides taking over an important part of groceries shopping, Amazon was now able to review data on how Whole Foods shoppers purchased their groceries.

An acqui-hire is a form of acquisition focused on taking the talent of the company being acquired but not its products. This way of M&A is very popular in the tech industry of Silicon Valley, where tech giants such as Facebook, Apple, Twitter, Google and others pick up small start-ups to capitalize on their skills and help them fill out their workforce in important areas.

In corporate law, mergers and acquisitions law is a specific area. The rules and risks in M&A depend on if the deal is carried out in a friendly way or through a hostile approach. Two firms taking part in an M&A must face a broad range of legal matters including those set by both federal laws and antitrust, rights of shareholders, how the corporation will be structured, issues relating to the SEC and many others.

What a Mergers Attorney Can Do

An attorney specializing in M&A or mergers keeps an active role as an ally for their corporation during the entire process. In M&A, attorneys get to know the client’s business goals and understand the legal risks and they design a plan for the whole transaction process. The M&A lawyer will collaborate with tax attorneys to discuss the tax effects of the transaction and to find out if there are any particular needs for structuring. The business lawyer will partner with antitrust lawyers to address rules and make sure the deal is approved by government bodies. An M&A lawyer gives advice on conducting the transaction and negotiating the deal, also does due diligence on the other side. A mergers attorney at the target company will assist the client with deciding if they should accept a buyer, not respond, sell their company or agree to another deal.

Why Your Company Should Hire a Mergers Attorney

A merger or acquisition affects your business at almost every aspect. The financial implications alone for your business are substantial. Being advised by a mergers attorney will give your company reassurance and will ensure your compliance with every step of the M&A process. In any M&A deal, having a mergers attorney to help guide restructuring and outline shareholder rights is very important for any involved company.
